The general regulations regarding establishing a company and opening a factory in Russia are contained in the Civil Code of Russian Federation, the law about registration of legal entities. To start a business in Russia, you have to register a company in Russia. The most effective legal form for legal entities is a limited liability company (LLC). The state body of registration for  legal entities (LLC) is the tax service of Russian Federation. Opening a business in Russia, if described in general, consists of several stages:

 1. Registration of the company;

 2. Statement of the registered company in the special state organs (pension fund, service of statistics, and others);

 3. Opening a Business Accounts in Banks;

4. Receipting of a work permit for a Executive ( a constant General Director – a foreign citizen) in Federal migration service.

5. Changing the General Director in the Tax Service.

Further steps will depend from you:

1. Will you build a factory?

2. Will you to buy a ready factory?

3. Will you rent a factory?

4. Some activities requires a license (approval).

Actually we are interested in establishing a Limited Liability Company and opening a factory to produce cosmetics, beauty care products and perfumes in Russia.

We kindly ask you to give us some clarifications regarding these matters:

1-      How long does it take to complete all the procedures and register the company? And what are the costs?

2-      We heard from other investors that we may face problems since it is not easy to obtain temporary or permanent residency permits for the people who will run the business and work at the factory? Is it true?

3-      As a start, we want to produce: Shampoo, Hair Conditioner, Body Lotion, Hand Cream, Deodorants and Perfumes; so what are the procedures to obtain the factory license? Do you also offer this service?

4-      According to the Russian regulations, is it allowed to establish a factory in all the areas and regions? Or there are specific industrial areas?

5-      For the first two years, we prefer to rent a small factory (400 – 500 square meter), and later we can decide whether to buy or to build a bigger factory; is it easily to find and to rent such a property?

6-      Can we freely transfer the money to Russia and from Russia?

 We need about 4 weeks for the company formation (commercial offer in the appendix, http://www.startinrussia.com/sites/default/files/docs/PriceList.pdf).

2-      We heard from other investors that we may face problems since it is not easy to obtain temporary or permanent residency permits for the people who will run the business and work at the factory? Is it true?

 The reсеipting  of a work permit  for foreigners is difficult task, but we can do it. We have a positive experience.

3-      As a start, we want to produce: Shampoo, Hair Conditioner, Body Lotion, Hand Cream, Deodorants and Perfumes; so what are the procedures to obtain the factory license? Do you also offer this service?

 The company can carry out their activities on all territory of Russia. You can establish a factory in all the areas and regions, but there are limitations (health standards, distance from living quarters and other). There are special industrial zones also in each of the regions of Russia.

For the production of cosmetics in Russia do not need a special license, but you need a license for the production of products containing alcohol. 

 State fee for:

a license for the production, storage and supply of non-food products produced with alcohol (including denatured) - 500 000 rubles (12400 euro);

a license for the purchase, storage and supply of alcohol non-food products - 500 000 rubles (12400 euro).

Cosmetics must obtain a certificate of quality. The cost of certification determined by the formula and depends from the particular product.

 I believe that you can do a single license (the license for the purchase).

2-      Regarding your offer, can you please clarify these points:

-          A temporary General Director

 We register the company with the Russian director, then we get a work permit for a foreign citizen (the new permanent director) and change the director.

-          The legal address for a company

  We need to incorporate a company provide in Tax Service a information about the location (business address) of the company. A business address of the company is building (owned or leased), where interested parties can contact with the company. Normal office rent is from 500 euro per month, but  you may have specify  legal address (business adress) (location where mail can be received from interested parties), formally registered office is a room, but in fact it is a PO Box (in order to save money). If possible option for you without saving, we can rent  office and use it as a business address.
